About this guide:

This program guide governs Netgain authorized partners participating in the Netgain partner program, effective January 1, 2025 (the “program”).

Through this guide, partners can learn more about the benefits of different levels of participation within the program and can better understand how to grow within the Netgain partner tiered framework.

This program guide is designed for use by Netgain authorized partners (“partners”) who have entered into a license agreement with Netgain only, but shall also include each partner’s sales leaders, marketers, billing and finance, and other employees.

Netgain offers its partners robust resources, training, and tools — enabling development and expertise around specific business functions, product areas, and industries so we together can best serve our mutual customers across the globe.

Netgain partner program overview

The Netgain partner program is designed to encourage growth. The more our partners grow, the more we grow, and vice versa. All partners provide a consultative body of work, but they may differ in terms of how they deliver products and services to customers. All work must be approved by Netgain in advance of its use. Notwithstanding, Netgain may provide marketing materials and software training for use by partners.

Netgain reseller partner program tiers

The program consists of tiered benefit levels that each offers benefits based on specific performance criteria. Each partner will be given access to a wide range of partner tools, training, and resources to grow their respective businesses and to advance through the various “tiers” under the terms laid out below. Through participation in the program, and using Netgain’s products and services, we expect that each partner will have the resources available to provide solutions for their customers while clearly understanding the benefits to the partner of their participation in the program.

With that in mind, the program offers two (2) “tiers” of participation: the “gold partner tier” ,and the “platinum partner tier”. Each tier level is designed to help set expectations and provide measurable results for growing each partner’s business with Netgain.

The gold partner tier

The partners who are assigned to the gold partner tier have proven expertise in the delivery of solutions with Netgain domains. They have access to the resources outlined in the matrices below. The gold partner tier partners are entitled to receive compensation only as set forth in the “Netgain partner program benefits by tier” table below. The requirements for qualification to the gold partner tier shall include performance criteria such as annual revenue attribution, registered opportunities, and product certifications.

The platinum partner tier

The platinum partner tier includes partners who are skillfully experienced and heavily invested in the success of delivering applications built with Netgain products and service offerings. Netgain platinum partners earn gold benefits designed to help their practice grow and incorporate different delivery models. Platinum partners are offered exclusive resources and privileges. Platinum partnership is by invitation only. The platinum partner tier partners are entitled to receive compensation only as set forth in the “Netgain partner program benefits by tier” table below. The requirements for qualification to the platinum partner tier shall include performance criteria such as annual revenue attribution, registered opportunities, and product certifications.

Netgain partner evaluation period

During participation in the program, partners will be evaluated at the beginning of each Netgain partnership year (starting on January 1 and ending on December 31), at which point partners may, at Netgain’s sole discretion, be reassigned to a different tier, whether that be a higher or a lower tier. Evaluation and tier assignment will be based on the performance criteria outlined in this guide, which will include, without limitation, annual revenue attribution, registered opportunities, product certifications, and so forth.

If a partner is reassigned to a different tier, Netgain will notify the partner of its new tier designation within 30 days of the effective date thereof. Partners who do not remain in compliance with the requirements of their respective tier will be reassigned to the tier that aligns with their performance.  

Please note that participation at the platinum partner tier level is by invitation only.

If a partner fails to meet the requirements for the bronze partner tier or lacks engagement with Netgain for a 12-month period, they may, at Netgain’s sole discretion, lose access to the program altogether.

Netgain partner program requirements

To become a partner and maintain good standing with the program, a partner must meet the following overall minimum requirements by the end of the current Netgain partnership year-end (December 31) to maintain its partner tier status and ability to resell Netgain products:

Note:

  • All currencies are in US dollars. Annual revenue refers to recurring license fees charged by Netgain to the reseller partner.
  • Partner-deployed deals and annual revenue attribution must be met for tier requirements.

Partner enablement and implementation

All partner-led implementation project(s) must have at least one individual assigned who has completed the appropriate Netgain training and certifications for all relevant products to any implementation project. All reseller deals must be implemented by reseller partners. An exception to partner-implementation may be granted at Netgain's discretion on a case by case basis.

Netgain deal registration

Partners are required to submit all new customer deal registrations through https://netgain.tech/register-client/, provided that Netgain always retains the right to accept or reject each customer deal registration based on, among other factors, to be determined by Netgain, the following requirements:

  • The deal is a new customer opportunity (defined below) to Netgain*;
  • The deal is not already registered by another partner; and
  • The partner has made significant sales development efforts with the customer.

A “new customer opportunity” is a customer who (i) is a past customer (or a separate division within an existing customer) of Netgain who has not been registered as a customer with Netgain during the past 6 months, (ii) has not been registered as a new customer opportunity by another partner, or (iii) is an existing customer of Netgain who agrees to purchase a new product or service. Examples of a new customer opportunity are as a follows: a new customer to Netgain, an existing customer which has, in the past, purchased products or services from Netgain, where the opportunity is with a net new group or department within that customer where Netgain has not been active in the last six (6) months, or the opportunity is for a new Netgain product with an existing customer.

Netgain will review each deal registration submitted and will accept or reject submissions within two business days.

Once an opportunity has been accepted by Netgain, partner shall diligently work with Netgain to win such opportunity. Any opportunity that has not closed within four (4) months following the date initially registered and accepted by Netgain may be removed from the partner and cease to qualify as a new customer opportunity.

*A new customer opportunity may also be removed from the partner if subsequent to its registration, another partner engages with the same new customer opportunity as part of a larger scope of work (e.g., NetSuite implementation), at Netgain’s sole discretion. Where there are competing claims to a new customer, the partner who wins the larger scope of work will be credited with the new customer opportunity.

When multiple partners engage with a single customer relating to different scopes of work (e.g., sale of NetSuite license versus NetSuite implementation), overlap in deal registration may occur for a new customer opportunity. Whichever partner initially registers the opportunity will be given credit for the new customer opportunity. When last sales communication from initial partner reaches thirty (30) days, lead registration will default to the secondary partner that registered the lead. 

Notwithstanding the foregoing, it is understood that there may be customers who were originally introduced to Netgain by Oracle America, Inc., or one or more of its affiliated companies (“Oracle”). Partner understands that it is within the sole discretion of Netgain to designate any customers as new customer opportunities that belong to Oracle, even if partner may not be aware of the prior association with Oracle. In other words, it is partner’s responsibility to verify with Netgain that a new customer is not already a new customer opportunity of Oracle. In the event that partner introduces any such customers to Netgain, such customers will remain new customer opportunities of Oracle unless Netgain determines otherwise, in writing, and partner will not be entitled to any compensation from Netgain as a result of partner’s work with that customer.  

Additionally, such new customer opportunity may be re-assigned to a reseller of Netgain, but only to the extent Netgain may be contractually required to do so. In no event will a partner, its employees or agents interfere with, disrupt or delay any sales opportunities being pursued by Netgain or by any other partner to whom such opportunity has been assigned.

Netgain partner program administrator

Each Partner is required to assign a representative (each, a “Program Administrator”) who will be responsible for the overall relationship with Netgain and who will be the main point of contact with Netgain for all business-related topics, communications, initiatives, issues and/or escalations of its users.

Business planning

Business planning is necessary to ensure that both parties are aligned on strategy, investment, and expectations. “Netgain partner managers” (who are assigned to work with partners in each tier) will work with the program administrators for the partners in that tier to build a twelve (12)-month business plan, broken out quarterly, that covers sales goals, training and certification, marketing, and any product-related initiatives to achieve those goals. This plan provides the benchmarks against which the partnership performance will be measured throughout the year. Depending upon tier participation, these plans may be jointly developed by the partner and Netgain or developed by the partner and reviewed by Netgain.

Demonstration instances

Partners may request Netgain SuiteApps to be provisioned to their NetSuite instances for training and/or demo purposes.  Partners may use the installed Netgain SuiteApps exclusively for: (i) internal training on Netgain products and software solutions; (ii) internal development of their implementation services for Netgain products and software solutions; and (iii) marketing demonstrations to customers of Netgain products and software solutions.
